Terms of Service

Effective Date: October 28, 2026

1. Agreement

These Terms of Service (“Terms”) are an agreement between APSOFT LLC (“LoadKeeper,” “we,” “our,” or “us”) and you. They govern your use of LoadKeeper TMS, the LoadKeeper Driver mobile application, and the related websites and services (together, the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

If you do not agree to these Terms, do not use the Service.

2. Who Uses the Service

  • Carriers. A trucking carrier, dispatch company, or similar business that subscribes to LoadKeeper TMS (a “Carrier”). The Carrier owns its account and is responsible for everyone it allows to use it.
  • Users. Dispatchers, accountants, managers, and other staff a Carrier adds to its account.
  • Drivers. Drivers and owner-operators a Carrier invites to the LoadKeeper Driver mobile application. A Driver uses the app on behalf of the Carrier that invited them; the Carrier remains responsible for the data it asks Drivers to provide.

You must be at least 18 years old to use the Service. The Service is a business tool and is not offered to consumers.

3. Accounts and Security

You are responsible for keeping sign-in credentials, sign-in codes, and devices secure, and for all activity under your account. Tell us promptly at support@loadkeeper.com if you believe an account has been compromised. A Carrier may add, remove, and set permissions for its Users and Drivers at any time; removing a Driver from the app ends that Driver's access to the Carrier's data.

4. Subscription, Trial, and Payment

  • Plan. LoadKeeper TMS is sold as a flat monthly subscription per Carrier account, with unlimited users and trucks, at the price shown on our website or agreed with you in writing.
  • Free trial. New accounts receive a 14-day free trial. No payment is taken during the trial. At the end of the trial the subscription begins unless you cancel first.
  • Billing. Subscriptions renew monthly and are charged in advance to the payment method on file through our payment processor (Stripe). You authorize recurring charges until you cancel. Prices exclude taxes, which you are responsible for where they apply.
  • Failed payments. If a charge fails we retry it and notify you. If payment is not received within 7 days (21 days for bank transfers), the account is suspended until payment is made. Suspended accounts keep their data; access resumes when the balance is settled.
  • Cancellation. You may cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; the Service stays available until then. We do not refund partial periods except where required by law.
  • Price changes. We may change prices with at least 30 days' notice by email. Continued use after the change takes effect is acceptance of the new price.

The LoadKeeper Driver mobile application is free for Drivers. Message and data rates from your mobile carrier may apply.

5. Your Data

You own the loads, customers, documents, settlements, and other information you and your Users and Drivers enter into the Service (“Customer Data”). You grant us the right to host, process, transmit, and display Customer Data as needed to provide the Service, to prevent fraud and abuse, and as described in our Privacy Policy. We do not sell Customer Data and do not use it to train general-purpose artificial intelligence models.

You are responsible for the accuracy and lawfulness of Customer Data, including having the right to enter personal information about your Drivers, customers, and contacts, and for complying with laws that apply to your business, such as FMCSA record-keeping and wage and tax reporting. Reports the Service produces (settlements, 1099 summaries, compliance reminders) are tools to help you; you remain responsible for reviewing them and for your filings.

Some features send Customer Data to third-party providers on your instruction: email providers you connect, Stripe for payments, SMS delivery, mapping and routing services, document-reading services, and tracking providers such as Samsara or LoadMarket. Those transfers happen only to perform the feature you use.

You may export your data at any time while your account is active. After cancellation we keep your data for 90 days so you can reactivate or export it, then delete it from active systems, except where we must keep records for legal, tax, or billing purposes.

6. Driver App, Location, and Text Messages

The LoadKeeper Driver app shows a Driver the loads their Carrier has assigned, lets them record arrivals, departures, documents, and notes, and reports the device's location to the Carrier while the Driver has an active load. Location reporting starts when a load is dispatched to the Driver and stops when the load is delivered, the Driver signs out, or the Driver disables location in the device's settings. The Carrier may share a load's progress with its customer through a tracking link.

By entering your phone number in the app, or by being invited by your Carrier, you agree to receive two kinds of text messages: a one-time invitation and one-time sign-in codes. Reply STOP to stop receiving texts, or ask your Carrier to remove you from the app. Reply HELP or contact support@loadkeeper.com for help. Consent to text messages is not a condition of purchase.

Estimated arrival times, mileage, and map positions are approximations derived from GPS and third-party routing data. Do not rely on them where accuracy is critical, and never interact with the app while driving.

7. Acceptable Use

You agree not to:

  • Use the Service to send unsolicited messages, or invite to the Driver app anyone who is not your driver or contractor
  • Enter data you have no right to use, or data about a person who has not agreed to it where their agreement is required
  • Share credentials, circumvent access controls, or access another Carrier's data
  • Probe, scan, overload, reverse engineer, or interfere with the Service or its integrations, or use automated means to extract data beyond the exports we provide
  • Resell or sublicense the Service, or use it to build a competing product
  • Use the Service for anything unlawful, including evading safety, hours-of-service, or tax obligations

We may suspend accounts that violate these rules, that put the Service or other customers at risk, or that are the subject of a valid legal demand. We will tell you why unless the law prevents it.

8. Third-Party Services and Load Boards

The Service connects to third-party services at your request, including email providers, load boards, tracking providers, payment processors, and mapping services. Those services have their own terms, which you must accept and follow. Load offers, bids, and rate confirmations exchanged through the Service are agreements between you and your counterparty, not with us. We are not a party to your freight contracts and are not a broker, carrier, or freight forwarder.

9. Our Property

The Service, its software, design, templates, and documentation belong to APSOFT LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. Feedback you give us may be used without obligation to you. These Terms do not transfer any ownership of the Service to you, or of your Customer Data to us.

10. Availability and Support

We aim to keep the Service available around the clock, but it is provided without an uptime guarantee. We may take the Service offline briefly for maintenance and will try to do so outside typical business hours. Support is by email at support@loadkeeper.com during US business hours.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DOCUMENT READING, ETAS, MILEAGE, OR LOAD-BOARD MATCHES WILL BE ACCURATE, OR THAT THE SERVICE WILL MEET YOUR REGULATORY OBLIGATIONS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APSOFT LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST LOADS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT FULLY APPLY TO YOU.

13. Indemnity

You will defend and indemnify APSOFT LLC against claims, damages, and reasonable costs arising from your Customer Data, your freight operations, your violation of these Terms, or your violation of law or of a third party's rights, except to the extent caused by our breach of these Terms.

14. Termination

You may stop using the Service and cancel your subscription at any time. We may terminate or suspend your access if you materially breach these Terms and do not cure the breach within 10 days of notice, if your account is unpaid past the grace period, or if we discontinue the Service, in which case we will give at least 60 days' notice and a way to export your data. Sections 5, 9, and 11 through 16 survive termination.

15. Changes to These Terms

We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email to the account owner or by a notice in the Service. Your continued use after the effective date of a change is acceptance of the updated Terms. The current version is always available at this page.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-law rules. Before filing a claim, each party agrees to contact the other and attempt in good faith to resolve the dispute for at least 30 days. Any dispute that is not resolved will be brought in the state or federal courts located in Ohio, and each party consents to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

17. General

These Terms, together with the Privacy Policy and any written order or price agreement between you and us, are the entire agreement about the Service. If a provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to a successor of our business. Notices to us go to the address below; notices to you go to the account owner's email on file. Neither party is liable for delays caused by events outside its reasonable control.
